2022 New York Knicks “Make It Awards” Contest

Official Rules


NO PURCHASE NECESSARY TO ENTER OR WIN.

Contest Period:  The 2022 New York Knicks “Make It Awards” Contest begins at 9:00 a.m. Eastern Time (“ET”) on January 13, 2022 and ends at 11:59 p.m. ET on March 18, 2022 (the “Contest Period”).  Submissions will be accepted from 9:00 a.m. ET on January 13, 2022 through 11:59 p.m. ET on February 10, 2022 (the “Contest Submission Period”).  Public voting will begin on or about February 14, 2022 and end at 11:59 p.m. ET on February 21, 2022 (“Online Voting Period”). 

 

Eligibility:  Entries can only be submitted by individuals who are legal U.S. residents of New York, New Jersey or Connecticut, eighteen (18) years of age or older at the time of entry, who reside within a 150-mile radius of the arena at Madison Square Garden (the “Arena”) and who are currently a small business owner as defined by the Small Business Administration (www.sba.gov) (each, an “Entrant”, “you” or “your”).  Employees, temporary workers, freelancers and independent contractors of New York Knicks, LLC (the “Knicks, “Sponsor” or “us”), Squarespace, Inc. (“Squarespace”), MSG Sports, LLC (“MSGS”), MSG Entertainment Group, LLC (“MSGE”), The National Basketball Association (the “NBA”), the NBA Member Teams, NBA Media Ventures, LLC, NBA TV, LLC, and NBA Enterprises, LLC (collectively, the “NBA Entities”), and any of their respective parent companies, affiliates, advertising/promotion agencies and prize providers, and members of the immediate family (parents, children, grandparents, grandchildren, spouse or siblings and their respective spouses, regardless of where they reside) and those persons, whether or not related, living in the same households of any of the foregoing are not eligible to participate. This Contest is subject to all applicable federal, state, and local laws and regulations. Void outside the area stated and where prohibited by law.

 

How to Participate: During the Contest Submission Period, visit www.makeitawards.com (the “Website”) to submit your entry which must include honest responses to each of the provided entry fields (each such submission, an “Entry” and collectively, the “Entries”), which may include: (i) your name, (ii) your phone number, (iii) your email, (iv) the name of your business, (v) your business website (if applicable), (vi) your mailing address, (vii) the Mission Statement/values of your business, (viii) the total revenue of your business in 2021, (ix) your inspiration to become an entrepreneur or small business owner, (x) your tie(s) to NYC and the local community, (xi) a detailed plan of how you would use the prize money (Business Strategy”), and (xii) any other important information about you or your business. 

 

Incomplete Entries will be disqualified; however, Sponsor reserves the right to allow for minor deviations from the guidelines and restrictions set forth herein, based on clear intent to comply with these Official Rules, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any and all Entrants who submit more than one Entry (and void any Entries submitted by such Entrants) by using multiple/different addresses, identities, or any other methods, or who Sponsor believes has attempted to tamper with, influence or impair the administration, security, fairness, or proper administration of this Contest. Proof of entering information is not considered proof of delivery to or receipt by Sponsor of an Entry. Any use of robotic, automatic, programmed or any other method which subverts the Entry process will void all such Entries by such methods. All Entries become the property of Sponsor. 

 

Grant of Rights: By participating, each Entrant grants to Sponsor, Squarespace, MSGS, MSGE, the NBA Entities and their designees a non-exclusive, worldwide, royalty-free, perpetual, unrestricted, irrevocable and fully sublicensable right and license to consider, disclose, use, re-use, reproduce, modify, digitize or enhance, adapt, change, edit, publish, translate, create derivative works based upon, distribute, redistribute, and/or display their Entry (in whole or in part) and/or incorporate all or part of their respective Entry in other works all in a manner and in any form, format, or media now known or hereafter devised anywhere in the world at any time, as well as in connection with any distribution or syndication arrangement with third parties or third-party sites, in any media format or medium and through any media channels now known or hereafter devised and for any purpose, including but not limited to for advertising and promotion, without further notice or compensation to or permission from any Entrant or any third party.  Sponsor, Squarespace, MSGS, MSGE, the NBA Entities and their respective designees have the right to use any and all Entries, and any and all elements appearing in any Entry, including but not limited to names, likenesses, symbols and phrases of any kind for future advertising, marketing, commercial, promotion and publicity in any manner and in any medium now known or hereafter devised, throughout the world, in perpetuity without further notice or compensation to or permission from Entrant.  Entrants waive any and all “moral rights” they may have in their respective Entries. 

 

Sponsor, Squarespace, MSGS, MSGE, the NBA Entities and their designees are in no way obligated to use any Entry as described in the foregoing paragraph and an Entrant may or may not be given any credit or attribution if their Entry is subsequently used or the Entrant is declared a winner. Entrants agree to waive all claims to receive any royalties or fees of any kind now or in the future from Sponsor, Squarespace, MSGS, MSGE, the NBA Entities and their designees for any use of any Entry, including copyright or trademark royalties and each Entrant represents, warrants and agrees that no other party is entitled to claim any royalties or fees from the use of their respective Entry as set further in these Official Rules.

By submitting an Entry, each Entrant represents and warrants that: (i) their Entry is original and the Entrant’s own work, (ii) their Entry does not infringe or violate any third party’s rights, including copyright, trademark, patent, trade secret, defamation, privacy, publicity, false light, idea misappropriation, contractual or other rights; (ii) their Entry is true, accurate and verifiable and is an expression of his/her personal experience and/or beliefs; (iii) their Entry is not copied from any other source and that Entrant did not use the works of others in the Entry without permission or right to do so; and (iv) no other persons other than Entrant have any right, title or interest in any part of the Entry. Sponsor reserves the right to require that Entrants provide proof of statements made in their respective Entries, in a form acceptable to Sponsor.  Failure of an Entrant to provide any such requested proof of statements as requested by Sponsor may result in disqualification.

Entries may not contain any image or depiction of the following: (i) materials that include or constitute trademarks, trade names or copyrighted works created or owned by any person or entity other than Entrant; (ii) materials bearing profanities or that are lewd, obscene, pornographic, disparaging, indecent or that are otherwise deemed to be inappropriate by Sponsor; (iii) materials that bear the name or likeness of any celebrity, living or dead, or that contain visibly identifiable or potentially identifiable information, including, but not limited to, phone numbers, website links, street addresses, email addresses and license plate numbers; (iv) inappropriate behavior for a general audience; (v) materials that violate anyone’s reasonable privacy expectations, violate any known agreement, or that are defamatory in nature; (vi) violence in any form; (vii) materials that are derogatory to Sponsor, Squarespace, MSGS, MSGE, the NBA Entities, their products or services or any affiliated entity or person; (viii) materials which are discriminatory based on race, religion, national origin, physical disability, age, sex, or sexual orientation or preference; and (ix) materials that do not comply with all other requirements in these Official Rules. Entries that do not conform to these guidelines will be disqualified and Sponsor shall have no obligation to notify the Entrant is such event.  Sponsor reserves the right to reject or disqualify any Entry that Sponsor, in its sole and absolute discretion, determines to be (x) inconsistent with the letter or spirit of the Official Rules or the Contest, or (y) potentially damaging to Sponsor’s, the Contest’s, or any other party’s image or reputation.

Contest Judging: All eligible Entries received during the Contest Submission Period will be judged by a panel of qualified judges (chosen by Sponsor and who may include small business entrepreneurs), using the following criteria:

 

1.     Business Strategy – 40%

2.     Innovation of Business – 20%

3.     Benefit to the Tri-state area – 20%

4.     Website branding & design – 20%

 

The ten (10) Entries that receive the highest scores, as determined by Sponsor in its sole discretion, will advance to public voting as described below (each a “Finalist Submission” and collectively, the “Finalist Submissions”).  Sponsor reserves the right to select fewer than ten (10) Finalist Submissions if, in Sponsor’s sole discretion, Sponsor does not receive a sufficient number of eligible and qualified Entries.  Each Entrant who submitted a Finalist Submission shall be a “Finalist” for purposes of this Contest.  In the event of a tie, the judges will re-watch the tied Entries and re-rank the Entries based on the foregoing criteria until the Finalist Submissions are determined.  Decisions of Sponsor and the judges are final and binding.

 

Public Voting:  During the Online Voting Period, the Finalist Submissions will be featured on the Website along with instructions on how to place a vote, and visitors to the Website will be encouraged to vote for their favorite Finalist Submission.  Sponsor reserves the right to post fewer than ten (10) Finalist Submissions for public voting if, in Sponsor’s sole discretion, Sponsor does not receive a sufficient number of eligible and qualified Entries.  Public voting will end at 11:59 p.m. ET on February 21, 2022.  There is a limit of one (1) vote per person per day.  Subsequent votes by a single user in any day will be disqualified.  Votes generated by script, macro or other automated means or any other means intended to impact the integrity of the voting process as determined by Sponsor may be void. Votes obtained by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, payment for votes or offering to trade votes, as determined by Sponsor in its sole discretion, may result in those votes being void and the contestant(s) being disqualified. 

 

At the end of the Online Voting Period, all Finalist Submissions will be re-judged by a panel of qualified judges (chosen by Sponsor and who may include small business entrepreneurs) to determine the winners using the following criteria:

 

1.     Business Strategy – 40%

2.     Innovation of Business – 20%

3.     Benefit to the Tri-State area – 20%

4.     Website branding & design – 10%

5.     Public voting – 10%

 

The four (4) Finalist Submissions that receive the highest scores, as determined by Sponsor in its sole discretion, will be deemed the winners of the Grand Prize as described below.  In the event of a tie, the judges will determine the winners based on each Finalist’s overall story and what inspired him/her to become a small business owner. Sponsor reserves the right to not award a prize if, in Sponsor’s sole discretion, Sponsor deems there to be an insufficient number of eligible and qualified Finalist Submissions.  Judging scores will not be revealed. The decisions of Sponsor and judges are final and binding.

 

Winner Notification/Conditions: Four (4) potential winners will be notified by telephone, mail and/or email and will be required to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law) and any other documents required by Sponsor, which must be returned within the time period specified in the notification. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation by a potential winner within the specified time period, the inability of Sponsor to contact a potential winner within a reasonable time period or noncompliance with these Official Rules by any potential winner will result in disqualification and, at Sponsor’s sole discretion, another potential winner may be chosen based on the judging criteria set forth in these Official Rules, time permitting.  Each winner must agree not to release any publicity or other materials on their own or through another person or entity regarding their participation in the Contest without the prior consent of Sponsor or Squarespace, which may be withheld in Sponsor’s or Squarespace’s sole discretion.  Each winner must agree that upon receipt of the prize (except where prohibited) Sponsor, Squarespace, MSGS, MSGE and the NBA Entities may use winner’s name, city and state of residence, picture, portrait, likeness and voice, biographical information and content of Entry for advertising, promotional and other purposes, in any and all media, including but not limited to on the Knicks’ or Squarespace’s websites and social media channels, now or hereafter devised, in any manner, worldwide, in perpetuity, without further compensation, notification or permission. By accepting the prize, winner consents to being photographed and/or interviewed on camera by Sponsor and/or Squarespace for live or taped viewing thereof.

 

Prize & Approximate Retail Value (“ARV”): Contest Grand Prize (four (4) total):  Each winner will receive: (i) $30,000 (in the form of a grant); (ii) a one (1) year subscription to Unfold Pro; (iii) a one (1) year Squarespace website subscription, (iv) a one (1) year subscription to Google Workspace; (v) the opportunity to run an advertisement through select inventory of Sponsor (i.e., out-of-home signage digital boards (exact details as determined by Sponsor in its sole discretion)); and (vi) inclusion in one (1) digital content piece recapping winner’s “Make It Awards” experience (exact event, date and time as determined by Sponsor in its sole discretion). Total ARV of each Grand Prize: $35,000. Use of the Squarespace platform is subject to the Squarespace Terms of Service available at http://www.squarespace.com/terms-of-service/.  If, for whatever reason, Sponsor is unable to provide any prize component, no compensation or substitution will be provided; however, remainder of prize will be awarded and Sponsor will have no further obligation to any winner. Prize is awarded “as is” with no warranty or guarantee, either express or implied. Winners may not substitute, assign or transfer a prize or redeem a prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value.  All advertisements and collateral materials provided by each winner in connection with such winner’s receipt of the prize shall be subject to Sponsor’s prior written approval in each instance and to each winner’s acknowledgement and acceptance of Sponsor’s standard terms and conditions related thereto.  Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion.  Limit one (1) prize per person.

Limitation of Liability:  Entrants agree to release, indemnify and hold harmless Sponsor, Squarespace, MSGS, MSGE, the NBA Entities and their respective parent companies, affiliates, advertising/promotion agencies and prize providers and all of their respective officers, directors, agents, employees and representatives (collectively, “Released Parties”) for any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize or participation in this Contest or Released Parties’ use of any Entry.  Any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and in no event will an Entrant receive attorneys’ fees or other legal costs. Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend part or all of this Contest for any reason, including but not limited to, non-authorized human intervention, fraud, or other causes that corrupt or impair the administration, security, fairness or proper play of the Contest. If terminated, a notice will be posted online and Sponsor may, at its discretion, select winners from all non-suspect, eligible Entries received prior to action taken using the judging procedure set forth herein or as otherwise deemed fair and appropriate by Sponsor. Failure to comply with these Official Rules may result in disqualification.

Released Parties are not responsible for lost, late, incomplete, illegible, incorrect, damaged, delayed, garbled, undelivered, or misdirected Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prize or in any Contest-related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest.  Released Parties are not responsible for injury or damage to any person’s computer related to or resulting from participating in this Contest or downloading materials from or use of the website.  Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. In the event of a dispute as to the identity or eligibility of Entrant, Entrant will be deemed to be the Authorized Account Holder of the e-mail address provided at the time of Entry.  “Authorized Account Holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  All Entrants must comply with these Official Rules. 

 

CAUTION: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Personal Information: Information collected in connection with this Contest is subject to Sponsor’s Privacy Policy.  Visit https://www.msgsports.com/privacy/ for more information.  Entrants who provide their email address will automatically be enrolled to receive emails from or on behalf of Sponsor or others and can opt out of receiving future emails at any time by following the directions provided in such emails.

Winners’ Names: For the names of the winners (available after the end of the Contest Period), send an email to Sweepstakes@msg.com, with “2022 New York Knicks “Make It Awards” Contest Winner’s List” in the subject line, for receipt no later than thirty (30) days after the end of the Contest Period.
